TailorPortfolio – Terms of Service

1. Eligibility (18+ Only; No Minors)

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you are 18+ and capable of forming a binding contract.

If you are not 18+, you must not access or use the Platform. If we learn you are under 18, we may suspend or terminate access immediately.

2. No Advice; No Relationship; No Reliance

All content, portfolio outputs, analytics, simulations, forecasts, calculations, and any other information provided by the Platform are provided for informational and educational purposes only and do not constitute financial advice, investment advice, legal advice, tax advice, or any other professional advice.

You agree you will not rely on the Platform when making financial or investment decisions.
You agree that any actions you take are at your sole risk.
You agree to consult qualified professionals before acting on any information.

The Platform is not a broker, dealer, portfolio manager, investment adviser, or fiduciary. No advisory, client, fiduciary, or professional relationship is created by your use.

No suitability or personalization obligation: We do not assess whether any information is suitable for you, and we do not owe you any duty of care, duty of loyalty, or fiduciary duty.

3. No Regulatory Registration or Endorsement

TailorPortfolio is not registered with any securities regulator, financial authority, or self-regulatory organization in any jurisdiction. Nothing on the Platform represents or implies that TailorPortfolio or any contributor is registered, licensed, approved, or endorsed by any authority.

You are solely responsible for ensuring your use of the Platform is lawful in your jurisdiction. We make no representation that the Platform is appropriate or available for use in any particular location.

4. High-Risk, Accuracy, and Model Limitations

Investing involves substantial risk, including the risk of complete loss of capital.
The Platform may generate inaccurate, incomplete, outdated, misleading, or unsuitable results.
Models can fail. Assumptions can be wrong. Inputs can be wrong or delayed.
Hypothetical/simulated results do not reflect actual trading and may overstate performance.
Past performance does not guarantee future results.

You accept full responsibility for independently verifying information and for all decisions and outcomes (including losses).

5. No Duty to Monitor, Update, or Warn

We have no obligation to monitor markets, update data, correct errors, provide alerts, or notify you of changes that may affect any information provided on the Platform. Information may become outdated at any time without notice.

You are responsible for your own due diligence, risk management, and verification.

6. Third-Party Services, Data, and Links

The Platform may rely on third-party services (e.g., hosting, authentication, data providers, analytics). We do not control and do not guarantee the accuracy, completeness, timeliness, or availability of third-party services or information.

The Platform may include links to third-party websites. We are not responsible for third-party content, policies, or practices. Access third-party services at your own risk.

7. No Warranties (AS-IS / AS-AVAILABLE)

The Platform is provided “AS-IS” and “AS-AVAILABLE” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, availability, security, or suitability for any use.

We do not guarantee the Platform will be uninterrupted, secure, error-free, or free of harmful components.

8. Limitation of Liability (Including Financial Losses)

You use the Platform entirely at your own risk. To the maximum extent permitted by law, TailorPortfolio and its owners, developers, contributors, affiliates, partners, and service providers will not be liable for any losses or damages arising from or related to your use of (or inability to use) the Platform, including but not limited to:

any financial losses (including loss of principal/capital), trading losses, opportunity costs, lost profits, or lost savings
decisions made in reliance on outputs, analytics, simulations, or any information from the Platform
errors, bugs, outages, delays, interruptions, or security incidents
inaccurate, incomplete, or delayed data (including third-party data)
model risk, calculation errors, or unexpected model behavior
unauthorized access to your account or data breaches

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages. Where permitted, you agree that the foregoing applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

Cap on liability: To the maximum extent permitted by law, our total liability for any claim will not exceed the greater of (a) five dollars ($5 CAD) or (b) the amount you paid us in the previous twelve (12) months.

Your sole remedy: If you are dissatisfied with the Platform, your sole remedy is to stop using it.

Some jurisdictions do not allow certain limitations. In that case, liability is limited to the maximum extent permitted, and only the minimum required liability will apply. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Release (To the Extent Permitted)

To the maximum extent permitted by law, you release TailorPortfolio and its owners, developers, contributors, affiliates, partners, and service providers from any and all claims, demands, causes of action, and damages of every kind (known or unknown) arising out of or related to your use of the Platform, including any investment or trading outcomes and any financial losses.

If this Release is not enforceable in full, it will be enforced to the maximum extent permitted and the remainder will be severed without affecting the validity of the rest of these Terms.

10. Indemnification

You agree to indemnify, defend, and hold harmless TailorPortfolio and its affiliates from any claims, losses, damages, liabilities, penalties, costs, or expenses (including legal fees) arising out of or related to:

your use or misuse of the Platform
your financial decisions and outcomes (including losses)
your violation of these Terms
your violation of any applicable laws or third-party rights
any dispute between you and a third party related to your use of the Platform

11. Intellectual Property; Limited License

The Platform and its content (including text, design, logos, and software) are owned by TailorPortfolio or its licensors and are protected by applicable laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial use, solely in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or exploit any part of the Platform except as expressly permitted by law.

12. User Responsibilities & Prohibited Use

You are responsible for maintaining the security of your account and device.
You will not reverse engineer, extract, bypass, scrape, exploit, or misuse the Platform.
You will not overload the Platform, probe security, or interfere with normal operation.
You will not use the Platform to violate any laws or regulations.

We may suspend or terminate access at any time, for any reason, without notice.

13. Termination

We may terminate or suspend your access immediately, without notice, for any reason (including suspected violation of these Terms). Upon termination, your right to use the Platform stops immediately.

Sections intended to survive termination (including risk disclosures, limitation of liability, release, indemnification, and dispute resolution) will survive.

14. Force Majeure

We are not responsible for failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, internet outages, power failures, government actions, war, labor disputes, or third-party service failures.

15. Dispute Resolution (Alberta) + Optional Arbitration

This section applies to the maximum extent permitted by law.

Good-faith resolution first: Before starting any formal proceeding, you agree to contact support and attempt to resolve disputes informally.

Optional arbitration (only if you choose it after a dispute arises): After a dispute arises, you may choose to resolve it by binding arbitration in Alberta, Canada. If you choose arbitration, you and TailorPortfolio waive the right to have the dispute decided by a judge or jury. If you do not choose arbitration, the dispute will proceed in court as described below.

Class / representative actions (to the extent permitted): To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. If this limitation is not enforceable, it will be severed and the remainder of these Terms will remain in effect.

16. Governing Law & Venue

These Terms are governed by the laws of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles. For disputes not resolved by arbitration (or where arbitration is not chosen), you agree to the exclusive venue and jurisdiction of the courts located in Alberta, Canada, to the extent permitted by law.

17. Modifications

We may update these Terms at any time. Continued use after changes become effective constitutes acceptance of the updated Terms.

18. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

19. Assignment

We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.

20. Entire Agreement

These Terms constitute the entire agreement between you and TailorPortfolio regarding the Platform and supersede all prior agreements or understandings.
